Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Ajolla Inc. (doing business as Quborly) (“Quborly,” “we,” “us,” or “our”) governing your access to and use of the Quborly website, mobile applications, and related services (collectively, the “Service”). By creating an account, reserving a ticket, hosting an event, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or make a purchase. By using the Service you represent that you meet this requirement and that you are not barred from using the Service under any applicable law. Hosts may set additional age or eligibility requirements for individual events.

2. Your Account

You are responsible for safeguarding your login credentials and for all activity under your account. You agree to provide accurate information and to keep it current. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms, our Community Guidelines, or applicable law.

3. The Service

Quborly lets organizers (“Hosts”) create and promote free, paid, virtual, and hybrid events, including no-prize challenge showcases, live networking events, and mixers; build communities that members can join for free or by paid membership; and sell tickets, including through conditional ticket pre-sales. Attendees and members (“Guests”) can discover, reserve, purchase, and participate. Quborly is an online marketplace and technology platform. Independent Hosts create and operate their own events; Quborly is not the organizer of events listed on the Service unless an event is explicitly identified as a Quborly-hosted event. Merchant-of-record and payment responsibility depend on the actual transaction structure and are described at checkout and in our Payments Policy. Quborly does not guarantee that every proposed or conditional pre-sale event will be confirmed.

4. Conditional Ticket Pre-Sales

Some events use a conditional ticket pre-sale: when you reserve, you save a payment method and authorize a later charge up to the disclosed amount if the event reaches its minimum reservations by its reservation deadline. You are not charged while the pre-sale is pending. If the minimum is not reached, the event is not confirmed and no charge is made. If the minimum is reached and the material terms still match what was disclosed, your saved payment method may be charged automatically. If material details change first, we may require you to reconfirm before any charge is made. This is not represented as a long-duration card authorization hold. 5. Payments, Fees & Payouts

Payments are processed by our third-party payment processor (Stripe). By transacting on the Service, you also agree to the applicable Stripe terms. For paid tickets and memberships, Quborly charges a service fee of 5% of the price, plus payment-processing fees, which are added to the amount and paid by the buyer at checkout; the Host receives the full listed price. Fees are disclosed at or before checkout where required.

Hosts who receive payouts must connect a payment account and provide any identity and tax information required by law or by our payment processor. You are responsible for all taxes on your earnings. Quborly may withhold, delay, or reverse payouts where we reasonably suspect fraud, chargebacks, policy violations, or legal risk.

6. Advertising Credits & Promotions

Quborly may offer advertising credits and promotional placements. Credits have no cash value, are non-transferable, are non-refundable except where required by law, and may expire. Promotions are subject to availability and to our review. We may remove any promotion that violates these Terms or our Community Guidelines without refund.

7. Grant Programs

We may offer programs (for example, for nonprofits or community organizers) that provide advertising credits and plan benefits. Participation is at our discretion, may require verification, and may be modified or revoked if eligibility criteria are not met or if the program is abused.

8. Host Responsibilities

• You are solely responsible for your event or community, including its content, safety, accuracy of listings, delivery, and compliance with all laws, licenses, and permits.
• You must honor the events and benefits you sell and communicate changes or cancellations to Guests promptly.
• You must not list events that are illegal, fraudulent, hateful, or that violate our Community Guidelines.

9. User Content & License

You retain ownership of the content you submit (text, images, cover art, and other materials). You grant Quborly a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt (for formatting and thumbnails), and distribute that content for the purpose of operating, promoting, and improving the Service, including generating link previews when content is shared. You represent that you have the rights necessary to grant this license and that your content does not infringe the rights of others.

10. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes harassment, hate speech, fraud, infringing others’ rights, scraping, reverse engineering, interfering with the Service, attempting to access accounts that are not yours, or uploading malware. Full details are in our Community Guidelines, which are incorporated into these Terms.

11. Payments and Prohibited Activities

This section is summarized in our dedicated Payments Policy, which also covers saved payment methods, Stripe Connect onboarding, seller identification, disputes, chargebacks, payout holds, reversals, and failed payments.

You may not use Quborly payments for pornography; sexual services; escort services; strip-club transactions; paid sexualized live-chat services; gambling; wagering; lotteries; paid-entry sweepstakes with material prizes; contestant entry fees promising cash or material prizes without separate compliance approval; illegal drugs; cannabis transactions; weapons; peer-to-peer money transfers; stored-value balances; unlicensed financial services; deceptive donations represented as tickets; events without a bona fide good or service; fraudulent or nonexistent events; or other products and services prohibited by Stripe. Age-restricted nightlife, drag performances, theater, comedy, dating-themed social events, educational sexual-health discussions, and adult-oriented artistic performances are not prohibited merely because they are age-restricted, unless they involve a prohibited commercial category. 12. Virtual Events

Virtual and hybrid events may use third-party streaming infrastructure. Networking and mixer rooms may allow eligible attendees to publish live camera and microphone feeds to other people in the room. You control whether your own camera and microphone are enabled, and you must not record, redistribute, harass, impersonate, or circumvent access and moderation controls. Quborly does not provide a recording or replay for self-service challenge showcases, networking events, or mixers.

A challenge-showcase Host may publish a run of show with a screen-time slot, duration, and readiness deadline for each accepted entry. A missed deadline is not an automatic forfeiture. A producer may record a slot as forfeited only after a human check for availability and reasonable technical or accommodation issues, and must record a reason. Hosts remain responsible for fair operation, accessibility and effective communication where applicable, moderation, and the conduct and legal compliance of their virtual events. The event-specific versioned showcase terms also apply.

13. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Quborly and protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not use our marks without our prior written consent.

14. Copyright (DMCA)

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a written notice to our designated agent at legal@quborly.com including: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and information reasonably sufficient to let us locate it (such as the URL); (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner’s behalf.

Counter-notification. If your content was removed and you believe it was removed in error or misidentification, you may send a counter-notice to legal@quborly.com including: your signature; identification of the removed material and the location it appeared before removal; a statement, under penalty of perjury, that you have a good-faith belief the material was removed by mistake or misidentification; and your contact information and consent to the jurisdiction of the applicable court. We may restore the content in 10–14 business days unless the original complainant notifies us that they have filed a court action.

Repeat infringers. We remove infringing content and, in appropriate circumstances, disable or terminate the accounts of users who repeatedly infringe.

15. Third-Party Services

The Service integrates third parties (for example, payment, streaming, and analytics providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.

16. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that events listed by Hosts will take place as described.

17. Limitation of Liability

To the maximum extent permitted by law, Quborly and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Quborly’s total liability for any claim relating to the Service will not exceed the greater of the fees Quborly earned from your transactions in the three months before the claim, or US $100.

18. Indemnification

You agree to indemnify and hold harmless Quborly and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your content, your events, your use of the Service, or your violation of these Terms or the law.

19. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will survive.

20. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The parties submit to the courts located in Delaware, and you agree to resolve disputes individually and not as part of a class action where permitted by law. Nothing in this section waives any non-waivable rights you have under the laws of your jurisdiction.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new effective date). Your continued use after changes take effect constitutes acceptance.
