Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Quborly (“Quborly,” “we,” “us,” or “our”) governing your access to and use of the Quborly website, mobile applications, and related services (collectively, the “Service”). By creating an account, reserving a ticket, hosting an event, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or make a purchase. By using the Service you represent that you meet this requirement and that you are not barred from using the Service under any applicable law. Hosts may set additional age or eligibility requirements for individual events.
2. Your Account
You are responsible for safeguarding your login credentials and for all activity under your account. You agree to provide accurate information and to keep it current. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms, our Community Guidelines, or applicable law.
3. The Service
Quborly lets organizers (“Hosts”) create and promote free, paid, virtual, and hybrid events; build communities that members can join for free or by paid membership; and sell tickets, including through all-or-nothing pre-sale campaigns. Attendees and members (“Guests”) can discover, reserve, purchase, and participate. Quborly is a venue and technology provider; we are not the organizer of events listed on the Service unless explicitly identified as such.
4. Pre-Sale & All-or-Nothing Ticketing
Some events use an all-or-nothing model: your payment method is authorized when you reserve, but you are only charged if the event reaches its goal by its deadline. If the goal is not met, the event is canceled and you are not charged. If the goal is met, your saved payment method is charged automatically. By reserving, you authorize Quborly and its payment processor to place a hold and to complete the charge if the goal is reached. See our Refunds & Cancellations Policy for more.
5. Payments, Fees & Payouts
Payments are processed by our third-party payment processor (Stripe). By transacting on the Service, you also agree to the applicable Stripe terms. For paid tickets and memberships, Quborly charges a platform fee of 5% of the transaction, plus payment-processing fees, which are deducted from the Host’s proceeds. Fees are disclosed at or before checkout where required.
Hosts who receive payouts must connect a payment account and provide any identity and tax information required by law or by our payment processor. You are responsible for all taxes on your earnings. Quborly may withhold, delay, or reverse payouts where we reasonably suspect fraud, chargebacks, policy violations, or legal risk.
6. Advertising Credits & Promotions
Quborly may offer advertising credits and promotional placements. Credits have no cash value, are non-transferable, are non-refundable except where required by law, and may expire. Promotions are subject to availability and to our review. We may remove any promotion that violates these Terms or our Community Guidelines without refund.
7. Grant Programs
We may offer programs (for example, for nonprofits or community organizers) that provide credits or fee reductions. Participation is at our discretion, may require verification, and may be modified or revoked if eligibility criteria are not met or if the program is abused.
8. Host Responsibilities
- You are solely responsible for your event or community, including its content, safety, accuracy of listings, delivery, and compliance with all laws, licenses, and permits.
- You must honor the events and benefits you sell and communicate changes or cancellations to Guests promptly.
- You must not list events that are illegal, fraudulent, hateful, or that violate our Community Guidelines.
9. User Content & License
You retain ownership of the content you submit (text, images, cover art, and other materials). You grant Quborly a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt (for formatting and thumbnails), and distribute that content for the purpose of operating, promoting, and improving the Service, including generating link previews when content is shared. You represent that you have the rights necessary to grant this license and that your content does not infringe the rights of others.
10. Acceptable Use
You agree not to misuse the Service. Prohibited conduct includes harassment, hate speech, fraud, infringing others’ rights, scraping, reverse engineering, interfering with the Service, attempting to access accounts that are not yours, or uploading malware. Full details are in our Community Guidelines, which are incorporated into these Terms.
11. Virtual Events
Virtual and hybrid events may use third-party streaming infrastructure. You must not record, redistribute, or circumvent access controls for virtual events without the Host’s permission. Hosts are responsible for the conduct of their virtual events.
12. Intellectual Property
The Service, including its software, design, and trademarks, is owned by Quborly and protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not use our marks without our prior written consent.
13. Copyright (DMCA)
We respond to notices of alleged copyright infringement. If you believe content on the Service infringes your copyright, send a notice with the information required by the DMCA to legal@quborly.com. We may remove content and terminate repeat infringers.
14. Third-Party Services
The Service integrates third parties (for example, payment, streaming, and analytics providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.
15. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that events listed by Hosts will take place as described.
16. Limitation of Liability
To the maximum extent permitted by law, Quborly and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Quborly’s total liability for any claim relating to the Service will not exceed the greater of the fees Quborly earned from your transactions in the three months before the claim, or US $100.
17. Indemnification
You agree to indemnify and hold harmless Quborly and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your content, your events, your use of the Service, or your violation of these Terms or the law.
18. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will survive.
19. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The parties submit to the courts located in Delaware for any dispute not subject to arbitration, and you agree to resolve disputes individually and not as part of a class action where permitted by law.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new effective date). Your continued use after changes take effect constitutes acceptance.
